Terms of Service

These Terms of Service (“Terms”) govern your access to and use of excellent.so (the “Site”), the client portal, and the Excellent application and materials made available through the Site, operated by Excellent Software, LLC (“Excellent,” “we,” “us,” or “our”). By accessing or using them, you agree to these Terms. If you don’t agree, please don’t use them.

What changed (2026-10-08)

Notice only. This version does not ask you to accept these Terms again, and there is no re-acceptance step. It states that the Excellent plugin for ChatGPT and Codex, when available, relays verification reads to your own agent and does not start or run checks or adopt a contract. The Privacy Policy states that the gateway stores the paired device’s public key, not a sha256 fingerprint of that key. Read-operation records stay scheduled for deletion from the gateway’s active store 24 hours after creation, and periods described as planned targets remain planned targets.

The Site, install flow, and client portal

The Site provides information about Excellent, lets you install or learn how to install the Excellent verification system, request updates, book a team setup, and use a client portal for scheduling, onboarding, documents, billing, and setup handoff. Requesting updates or a setup call is a request to be contacted; it does not guarantee access, a particular price, a delivery date, or any specific result. Features, availability, and pricing described on the Site may change.

Client services, documents, and payments

Team setup services, paid implementation work, signed agreements, and payment obligations may be governed by separate written terms presented in the portal or signed directly with Excellent Software, LLC. If those terms conflict with these Terms for that engagement, the signed engagement documents control. Those signed engagement documents may include payment terms, liability terms, confidentiality terms, and setup responsibilities. Payments are processed by Stripe and may also be subject to Stripe’s terms. Excellent provides software setup and verification workflow support, not legal, financial, tax, security, or compliance advice.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site, application, or portal. By using them, you represent that you meet these requirements.

Acceptable use

You agree not to:

  • Use the Site, application, or portal in violation of any law or these Terms.
  • Scrape, harvest, or collect data from the Site or portal by automated means except as permitted by our robots file.
  • Interfere with or disrupt the Site, application, or portal, attempt to gain unauthorized access, or probe their security.
  • Submit false information, others’ personal data without permission, or spam.
  • Reproduce, resell, or exploit any part of the Site without our permission.

Intellectual property

The Site, application, portal, and their content — including the software, text, design, logos, and the Excellent name and mark — are owned by Excellent Software, LLC or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use them as intended and in accordance with these Terms. All rights not expressly granted are reserved.

Open-source components. Some parts of the application are third-party or open-source components released under their own licenses, such as the Apache License 2.0 — for example, the decision model derived from Laya and the harness package. Those components are governed by their own licenses and notices, which ship with the application, and nothing in these Terms limits the rights those licenses give you.

Using the Excellent application

  • It is free, and it may change. We currently provide the application at no charge. We may change, limit, or stop offering it, or any feature of it, at any time.
  • It runs on your machine, on your instructions. The application runs commands, tests, and the coding agents you choose on your own device and accounts. You are responsible for what you ask it to run, for the repositories and credentials you give it access to, and for your agent and model providers’ terms and charges.
  • Verification results are evidence, not a guarantee. A verdict, receipt, or “verified” status records the checks the application ran and what they showed. It is not a warranty that code is correct, secure, or fit for any purpose, and you remain responsible for reviewing and deciding what to ship.
  • Team sync is yours to operate. If you enable team sync, the server it syncs to is one you provision and run. We do not host it and are not responsible for its availability, security, or contents.

Excellent for ChatGPT (plugin and hosted gateway)

This section adds terms for the Excellent plugin in OpenAI’s plugin directory — shared by ChatGPT and Codex — and the hosted gateway behind it. The plugin is another access point to the same Excellent Software, LLC service described above; where this section is silent, the rest of these Terms apply to it too. The same is true of our Privacy Policy, which has its own section on the plugin and gateway.

As of October 8, 2026, the plugin is not yet published in OpenAI’s directory. Nothing here is a claim that you can connect it today. This section states the terms that apply once it is available, using “when available” for anything that is not yet live.

  • What the gateway does. The service has two parts: a hosted gateway we operate, and the Excellent agent you run on your own machine. The gateway authenticates your connection and relays authorized reads to your paired agent. V1 has four public tools: list_verification_workspaces, get_verification_status, get_verification_result, and verify_receipt. They return limited summaries of local records. They do not start or run checks, accept task text, or upload source, raw evidence, or full receipt contents.
  • Buying the service. You buy Excellent on excellent.so, under Pricing — never inside the plugin. The plugin signs in to an Excellent account you already have; it does not show a price, start a subscription, or link to checkout. If you subscribe to the gateway plan, Stripe processes that payment on the same terms as any other payment on this Site.
  • Local authority. The plugin can report adoption status but cannot adopt a contract. The selected v1 start surface is the local terminal command excellent plugin-agent check start, behind a check for a person at the terminal. A tool call or a model’s confirmation does not grant authority to start, run, or adopt a check.
  • Acceptable use of the plugin. In addition to the acceptable use rules above, you agree not to, through the plugin: obtain an accept, a result, or a receipt without the human adoption and local checks the service requires; present output written by a model as an independent check; use another account’s workspace, device, operation, or receipt; turn a hold, a refusal, a timeout, an offline agent, or incomplete evidence into an accept; forge, edit, or replay a receipt, a signature, or an adoption; bypass pairing, enrollment, revocation, or the local agent’s re-check; or submit payment card data, health information, government identifiers, or credentials and secrets. The public read tools accept lookup identifiers and pagination parameters, including an expected contract digest and attempt for receipt verification. They have no input for task text or a full conversation.
  • Current status. The plugin remains unpublished as of October 8, 2026, and the local start command returns r9_runtime_unavailable. A pending read, an offline agent, or a refusal is not an acceptance of the underlying work.
  • Receipt verification. The answer shown in chat is relayed by the gateway and can be forged or changed there. Independent assurance requires exporting the receipt bundle and verifying it offline against a separately trusted customer-held pin or verification key. Signature validity is not a guarantee that the underlying work is correct.
  • Disconnecting. Disconnecting the plugin in ChatGPT or Codex, revoking the gateway connection, and removing the local agent are different actions, each of which can leave the others in place. See the Support page for how each one works.

Third-party links and services

The Site, application, and portal may link to or rely on third-party sites and services we don’t control, including Stripe, Supabase, Resend, Google Calendar, Google Meet, and Vercel. We aren’t responsible for their content, policies, or practices, and your use of them is at your own risk.

Disclaimer of warranties

The Site, application, and portal are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that they will be uninterrupted, secure, or error-free, or that any information on them is accurate or complete.

Limitation of liability

To the fullest extent permitted by law, Excellent Software, LLC and its members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of (or inability to use) the Site, application, or portal. Our total liability for any claim relating to them will not exceed one hundred U.S. dollars (US$100), except where a signed engagement document says otherwise.

Indemnification

You agree to indemnify and hold harmless Excellent Software, LLC from any claims, losses, and expenses (including reasonable legal fees) arising out of your use of the Site, application, or portal, your submitted information, or your violation of these Terms.

Changes to the Site and these Terms

We may modify or discontinue the Site, and we may update these Terms, at any time. Changes are effective when posted, indicated by the “Last updated” date above. Your continued use of the Site after changes take effect constitutes acceptance.

Termination

We may suspend or terminate your access to the Site, your account, or the portal, and the license to use the application, at any time, without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive. A signed engagement document governs how a paid engagement ends.

Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in California will have exclusive jurisdiction over any dispute arising from these Terms or the Site, and you consent to venue there.

General

  • Entire agreement. These Terms, together with our Privacy Policy and any engagement documents you sign with us, are the whole agreement between you and us about their subject. If a signed engagement document conflicts with these Terms, the signed document controls for that engagement.
  • Severability. If any provision is held unenforceable, it will be enforced to the maximum extent possible and the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Feedback. If you send us suggestions or feedback, we may use them without restriction or obligation to you.
  • Notices. We may send notices to the email address you gave us. Send notices to us at the address below.
